Summary
The Counsel, Contracts position contributes to the BD Law Group and the Company’s success as a member of the Law Group Global Contracting Center of Excellence (COE). The COE is part of the Law Group Transactions Team and supports contracting for Global Procurement activities at BD. Reporting to the Assistant General Counsel and COE Senior Director, the Counsel, Contracts is responsible supporting contracting for assigned procurement categories, and for contributing to the design and implementation of programs to support the COE in the COE’s effort to provide effective, efficient and consistent contracting support to Global Procurement and Technology & Global Services (TGS) within a highly regulated manufacturing environment. Responsibilities

Key responsibilities include:
Serve as primary contact for internal clients and stakeholders for assigned contracting categories.
Prepare and negotiate contracts, amendments, statements of work, and other legal documents reflecting the business needs of stakeholders and clients.
Support the development and implementation of the COE objectives and strategies for contracts focused on the delivery of effective and efficient contracting.
Assess, advise on, and help mitigate legal and other risks in contracts.
Provide advice and support for contract claims and disputes.
Assist in the development of key monthly and quarterly business metrics for assigned areas.
Complete ad-hoc and special projects as requested/required.
Assist in the preparation and periodic updating of contract templates and playbooks.
Work closely with and interact directly with and negotiate and manage budgets with outside Law Firms for discrete contracting matters as applicable.
Help to drive the Law Group and COE KDGs.
Serve as Stakeholder Relationship Manager (SRM) for assigned BD business unit.
Education and Experience Requirements
JD from an ABA approved Law School and admittance to practice in NJ.
At least 10 years legal experience, including contract creation/negotiation experience in procurement related contracts such as supply agreements, technology and software agreements, transportation and logistics agreements, and services agreements, in a highly regulated manufacturing environment.
Strong negotiation, analytical, oral and written communication skills.
Deep knowledge of legal issues in commercial transactions.
Ability to prioritize a heavy workload under a tight schedule.
Excellent computer skills.
Knowledge of contract law, including Uniform Commercial Code, international contract law, etc.
Experience with electronic contract management systems, preferably Icertis.

About the role
This role reports to the Deputy General Counsel and will have responsibility for managing a diverse docket of investments/complex financial transactions litigation matters for the Company’s domestic life and retirement companies as well as its asset management and financial services businesses. This attorney will advise business partners and stakeholders regarding litigation risks and opportunities in the oversight and management of a multi-million-dollar docket of investment-related litigation and other legal disputes, including matters arising out of securities and derivatives transactions, secured and unsecured debt investments, and structured products. This attorney will also help oversee the process filing of class action proofs of claims on behalf of life and retirement companies and mutual funds related to securities or other investments and analyze whether cases are appropriate for “opting out” of class action litigation. In addition to handling some life and retirement product litigation, this role will assist in managing the Company’s fraud investigations body of work and support the Chief Litigation Counsel and Deputy General Counsel with various strategic projects, class-action litigation, and reinsurance matters. Chief Legal Counsel is based in Houston, TX.

This position provides legal services as a practicing counsel, which includes interpreting laws, rules and regulations, as well as advising company personnel on legal rights, obligations, and privileges. CORE FUNCTIONS
1. Assists management with a wide variety of projects requiring legal expertise, including preparing and reviewing corporate documents and contracts, reviewing and revising hospital policies to achieve legal compliance, reviewing proposed filings with federal and state agencies, and advising and assisting with legal disputes relating to contractual obligations.
2. Assists in protecting the company’s legal interests and maintaining its operations within the scope established by law. Provides hands-on counsel to all levels of executive staff. Identifies and analyzes legal issues, drafts key documents, presents clear recommendations, and assures legal compliance.
3. Advises company officers, managers and employees of legal requirements pertaining to operations including changes in laws and regulations, which may impact the company. Assures corporate compliance with a wide variety of federal and state laws and regulations. Provides education and training to personnel by preparing and delivering presentations to medical staff, hospital personnel and outside individuals on legal requirements impacting the company.
4. Assists in enforcement of corporate compliance with company policies and with federal, state and local governmental rules and regulations.
5. Participates in the reconciliation and determination of the legal position on major legal matters and determines and coordinates alternative sources of legal services to be used.
6. The scope of this position encompasses all legal requirements which impact the company, including but not limited to human resources, compliance, professional liability, confidentiality, corporate structure, business relationships with government and private entities, government regulation, internal self-governance and virtually all aspects of health care delivery. These principles are complex, fluid and must be applied to an ever-changing environment.
Performs all functions according to established policies, procedures, regulatory and accreditation requirements, as well as applicable professional standards.
